Full legal details are available in the Legal Notice section of the website.<\/p>\n    <p>These General Terms and Conditions govern all services provided by Diligence Consulting, including but not limited to:<\/p>\n    <ul>\n      <li>Arch\u00e9 Audits<\/li>\n      <li>Institutional mandates<\/li>\n      <li>Strategic advisory services<\/li>\n      <li>Regulatory positioning<\/li>\n      <li>Educational Diplomacy consulting<\/li>\n      <li>Selected professional training services where applicable<\/li>\n    <\/ul>\n    <p>Any order implies full acceptance of these Terms.<\/p>\n\n    <h2>2. Nature of Services<\/h2>\n    <p>Diligence Consulting provides strategic, analytical, and institutional advisory services.<\/p>\n    <p>Services may include:<\/p>\n    <ul>\n      <li>Institutional feasibility assessments<\/li>\n      <li>Governance architecture analysis<\/li>\n      <li>Regulatory mapping<\/li>\n      <li>Risk sequencing and exposure assessment<\/li>\n      <li>Strategic positioning within national and European frameworks<\/li>\n    <\/ul>\n    <p>Diligence Consulting does not guarantee administrative approval, regulatory recognition, accreditation, funding eligibility, or market success. All services are provided under a best-efforts obligation.<\/p>\n\n    <h2>3. Arch\u00e9 Entry \u2013 Paid Online Audit<\/h2>\n    <p>Entry under the Arch constitutes a paid strategic diagnostic. Payment is required prior to any analysis.<\/p>\n    <p>The Arch\u00e9 Audit provides:<\/p>\n    <ul>\n      <li>A structured institutional reading<\/li>\n      <li>A formal verdict: GO, NOT YET, or NO GO<\/li>\n      <li>A strategic recommendation<\/li>\n    <\/ul>\n    <p>The Arch\u00e9 Audit is non-refundable, non-transferable, and strictly confidential. It does not constitute an execution mandate.<\/p>\n\n    <h2>4. Mandates and Advisory Engagements<\/h2>\n    <p>Any institutional mandate is formalized through a specific engagement letter defining scope of work and payment terms.<\/p>\n    <p>Diligence Consulting reserves the right to refuse or discontinue a mandate if information provided is incomplete or inaccurate, governance integrity is compromised, or payment terms are not respected.<\/p>\n\n    <h2>5. Fees and Payment<\/h2>\n    <p>Fees are specified in the proposal or engagement letter.<\/p>\n    <p>Unless otherwise agreed:<\/p>\n    <ul>\n      <li>Payments are due upon invoice<\/li>\n      <li>Late payments incur statutory interest under French law<\/li>\n      <li>Services may be suspended in case of non-payment<\/li>\n    <\/ul>\n    <p>For online services, payment confirms contractual acceptance.<\/p>\n\n    <h2>6. Limitation of Liability<\/h2>\n    <p>Diligence Consulting provides strategic advisory services. Liability is limited to the amount paid for the service concerned.<\/p>\n    <p>The firm cannot be held liable for decisions taken independently by the client, administrative delays, regulatory refusals, or market consequences. Strategic decisions remain the responsibility of the client.<\/p>\n\n    <h2>8. Intellectual Property<\/h2>\n    <p>All deliverables, frameworks, methodologies, and written analyses remain the intellectual property of Diligence Consulting and may not be reproduced or reused without written authorization.<\/p>\n\n    <h2>9. Governing Law<\/h2>\n    <p>These Terms are governed by French law. Any dispute shall fall under the jurisdiction of French courts.<\/p>\n\n    <h2>Annex \u2013 Professional Training Services (Where Applicable)<\/h2>\n    <p>This annex applies exclusively to professional training services subject to French vocational training law.<\/p>\n\n    <h2>A. Training Nature<\/h2>\n    <p>Training programs specify objectives, duration, delivery format, evaluation methods, and certification where applicable. A training agreement or contract is issued prior to delivery.<\/p>\n\n    <h2>B. Cancellation<\/h2>\n    <p>Cancellation terms are specified in the training agreement. In case of force majeure, sessions may be postponed.<\/p>\n\n    <h2>C. Attendance and Evaluation<\/h2>\n    <p>Attendance sheets and evaluation forms may be required in accordance with applicable regulations.<\/p>\n\n    <h2>D. Scope of Application<\/h3>\n    <p>\n      This annex applies only when Diligence Consulting provides services formally designated as professional training activities within the meaning of the French Labour Code.\n    <\/p>\n    <p>\n      Strategic advisory services, Arch\u00e9 Audits, institutional mandates, and governance diagnostics do not constitute professional training unless explicitly identified as such in a signed training agreement.\n    <\/p>\n\n    <h3>2. Training Agreement<\/h3>\n    <p>\n      Any professional training service is subject to a written training agreement or contract specifying:\n    <\/p>\n    <ul>\n      <li>Objectives and intended outcomes<\/li>\n      <li>Program content<\/li>\n      <li>Duration and schedule<\/li>\n      <li>Delivery format (in-person or remote)<\/li>\n      <li>Assessment and validation methods<\/li>\n      <li>Price and payment terms<\/li>\n    <\/ul>\n    <p>\n      No training service begins without a duly executed agreement.\n    <\/p>\n\n    <h3>3. Nature of Obligation<\/h3>\n    <p>\n      Training services are provided under a best-efforts obligation. Diligence Consulting does not guarantee:\n    <\/p>\n    <ul>\n      <li>Certification success<\/li>\n      <li>Regulatory approval<\/li>\n      <li>Funding acceptance<\/li>\n      <li>Commercial or institutional outcomes<\/li>\n    <\/ul>\n\n    <h3>4. Attendance and Compliance<\/h3>\n    <p>\n      Where required by regulation or funding bodies, attendance sheets, evaluation forms, and supporting documentation may be requested from participants.\n    <\/p>\n    <p>\n      The client remains responsible for the accuracy of information transmitted to funding authorities.\n    <\/p>\n\n    <h3>5. Cancellation and Postponement<\/h3>\n    <p>\n      Cancellation terms are defined in the training agreement.\n    <\/p>\n    <p>\n      In the absence of specific provisions:\n    <\/p>\n    <ul>\n      <li>Cancellations less than 15 days before the scheduled date may result in full invoicing<\/li>\n      <li>In case of force majeure, sessions may be postponed<\/li>\n    <\/ul>\n\n    <h3>6. Payment and Suspension<\/h3>\n    <p>\n      Payment terms are specified in the training agreement.\n    <\/p>\n    <p>\n      In case of non-payment, Diligence Consulting reserves the right to suspend or terminate the training service.\n    <\/p>\n\n    <h3>7. Intellectual Property<\/h3>\n    <p>\n      All pedagogical materials, methodologies, and documentation remain the exclusive intellectual property of Diligence Consulting.\n    <\/p>\n    <p>\n      Reproduction or distribution without written authorization is strictly prohibited.\n    <\/p>\n\n    <h3>8. Liability<\/h3>\n    <p>\n      Liability is limited to the amount paid for the training service concerned.\n    <\/p>\n    <p>\n      Diligence Consulting shall not be held liable for decisions taken by the client following the training.\n    <\/p>\n\n    <h3>9. Regulatory Compliance<\/h3>\n    <p>\n      When applicable, professional training services comply with French vocational training regulations, including quality requirements in force at the time of
