and not merely consultative bodies.<\/p>\n  <\/div>\n\n  <div class=\"block fd f2\">\n    <span class=\"block-num\">I \u00b7 The Concept<\/span>\n    <h2>What governance designates.<\/h2>\n    <div class=\"body-text\">\n      <p>Institutional governance designates the property by which decision-making, within an institution, is made, documented, held under review, and exercised by real bodies. The word is everywhere. The reality is less so. Most institutions present their governance in the form of an organizational chart. An organizational chart shows a hierarchy. It does not show where the decision is made, nor what it leaves behind.<\/p>\n      <p>An institution may display a board, a management team, committees, and in reality be governed by a single person whose decisions leave no documented trace. Governance cannot be read in the list of bodies. It is read in what these bodies decide, document, and maintain.<\/p>\n      <p>Four dimensions compose this reading: decision-making, documentation, bodies, and review. Taken separately, each may appear to be in place. What external observers read is their effective implementation. An institution that decides, writes, convenes real bodies, and accepts review can be read effortlessly. An institution that displays bodies without assignable decision-making exposes a void, before any file is examined.<\/p>\n      <p>The reading of governance is conducted continuously by the State, evaluators, and partners. Each seeks to know not who appears on the organizational chart, but who decides, who is accountable for it, and what remains when the decision is contested. If the decision is assignable and documented, the reading concludes positively. If it is diffuse or silent, the reading stops.<\/p>\n      <p>This is why governance determines what follows. A decision that is documented can be defended. A decision that leaves no trace does not exist, for those reading it from the outside.<\/p>\n    <\/div>\n  <\/div>\n\n  <div class=\"block fd f3\">\n    <span class=\"block-num\">II \u00b7 The Four Dimensions<\/span>\n    <h2>The four dimensions of institutional governance.<\/h2>\n    <div class=\"body-text\">\n      <p>The Maison&#8217;s doctrine distinguishes four dimensions of governance. Each is necessary. None is sufficient alone. An institution whose four dimensions hold is governed in a legible manner. An institution lacking a single dimension displays governance that it does not exercise.<\/p>\n      <div class=\"layers-grid\">\n        <div class=\"layer-item\">\n          <p class=\"layer-num\">Dimension 1<\/p>\n          <p class=\"layer-title\">Decision-Making<\/p>\n          <p class=\"layer-body\">Where it is made, who carries it, at what level it commits the institution. An assignable decision has an identifiable author and a defined scope. A decision whose author is no longer known can neither be defended nor corrected.<\/p>\n        <\/div>\n        <div class=\"layer-item\">\n          <p class=\"layer-num\">Dimension 2<\/p>\n          <p class=\"layer-title\">Documentation<\/p>\n          <p class=\"layer-body\">The trace that the decision leaves behind. Governance that documents its decisions transmits and defends itself. Governance that decides without writing leaves nothing to reassess. What is not documented did not occur, for the authority that reads.<\/p>\n        <\/div>\n        <div class=\"layer-item\">\n          <p class=\"layer-num\">Dimension 3<\/p>\n          <p class=\"layer-title\">Bodies<\/p>\n          <p class=\"layer-body\">The organs that carry the decision, real or merely displayed. A real body deliberates, decides, commits. A consultative body informs without deciding. Confusing the two produces governance that appears collegial and remains, in fact, concentrated in one person.<\/p>\n        <\/div>\n        <div class=\"layer-item\">\n          <p class=\"layer-num\">Dimension 4<\/p>\n          <p class=\"layer-title\">Review<\/p>\n          <p class=\"layer-body\">The maintenance of the decision under control, over time. Governance holds when it accepts being reexamined, by a board, an evaluator, an authority. Governance that submits to no review is indistinguishable from personal will.<\/p>\n        <\/div>\n      <\/div>\n      <p>The four dimensions do not compensate for one another. They are read together. Governance that holds three dimensions but yields on the fourth is not governed three-quarters of the way. It is, in the dimension that yields, illegible. The system reads what does not hold.<\/p>\n    <\/div>\n  <\/div>\n\n  <div class=\"block fd f4\">\n    <span class=\"block-num\">III \u00b7 Why Governance Determines Legibility<\/span>\n    <h2>Displayed governance is not maintained governance.<\/h2>\n    <div class=\"body-text\">\n      <p>An organizational chart has never maintained a decision. Management teams often expect that the presence of bodies proves their governance. The expectation is false. The reading is determined further on, by what these bodies actually decide and what they leave behind. Displayed governance is not maintained governance.<\/p>\n      <p>An institution equipped with a board, committees, and regulations, but whose every decision in reality flows back to a single person without trace, will be read negatively. Not because its bodies are lacking. Because the real decision does not circulate through them. Concentration is read beneath the displayed collegiality.<\/p>\n      <p class=\"pivot-mid\">A decision without trace did not occur,<br\/><strong>for those who read it.<\/strong><\/p>\n      <p>This is why governance failure is almost never a question of organizational chart. The bodies exist. The functions exist. The titles exist. What is missing is the real circulation of the decision and the trace it leaves, legible to a third party.<\/p>\n      <p>When this occurs, the institution discovers it at the wrong moment. An evaluation opens. A partner asks who commits the institution. An authority questions a decision. The institution responds with its organizational chart, its functions, its intentions. The reader seeks the decision and finds only a hierarchy. An institution that cannot demonstrate where its decision is made presents an organization, not governance.<\/p>\n      <p>The cost of diffuse governance is rarely paid at the moment it is read. It accumulates. A first reading notes the absence of trace. The institution drafts regulations. The next reading notes that the regulations describe governance that reality does not follow. Documenting governance that did not exist takes cycles, not meetings. This timeline is rarely that of the operation that revealed the void.<\/p>\n    <\/div>\n  <\/div>\n\n  <div class=\"block fd f5\">\n    <span class=\"block-num\">IV \u00b7 The French Reading of Governance<\/span>\n    <h2>No single article defines governance on its own.<\/h2>\n    <div class=\"body-text\">\n      <p class=\"dc-note\">Unlike Structure, Assignability, and Continuity, Governance does not rest on a single legal requirement. It is read through convergence: the declaration regime, administrative expectations, and evaluation practices.<\/p>\n      <p>No article of the Education Code defines institutional governance in a single text. The reading is constructed through convergence. The declaration regime requires assignable administration. Recent oversight reads the system, not merely the act.<\/p>\n      <div class=\"legal-anchor\">\n        <p class=\"legal-anchor-eye\">French Legal Basis<\/p>\n        <p class=\"legal-anchor-text\">The declaration regime requires administration by at least three persons. <strong>This is the assignable foundation of all governance: a decision must be traceable to identified administrators.<\/strong><\/p>\n        <p class=\"legal-anchor-citation\">Private higher education institutions must be administered by at least three persons.<\/p>\n        <p class=\"legal-anchor-ref\">Education Code, Article L.731-4.<\/p>\n        <p class=\"legal-anchor-text\">The 2025 IGAS-IG\u00c9SR report shifts the object of oversight. The authority no longer evaluates only the submitted act. The object evaluated is no longer the file, it is the institution that carries it. Governance that limited itself to producing compliant acts finds itself read on its capacity to decide, document, and maintain its decisions.<\/p>\n      <p>The implication for international institutions entering France is direct. The authority no longer reads only what is declared. It reads who decides, who is accountable, and what the decision leaves. An institution whose governance is reduced to an organizational chart discovers this at the first serious examination.<\/p>\n    <\/div>\n  <\/div>\n\n  <div class=\"block fd f6\">\n    <span class=\"block-num\">V \u00b7 The Diagnostic Question<\/span>\n    <h2>A question that a board must resolve before exposure.<\/h2>\n    <div class=\"body-text\">\n      <p>The Maison&#8217;s doctrine proposes a single question that a board can use to test its institution&#8217;s governance. The question is simple. The answer rarely is.<\/p>\n      <p>If asked today, without notice, where each decision that commits the institution is made, who is accountable for it, what trace it leaves, and what real body maintains it, could the institution answer for all four, and demonstrate it to a third party?<\/p>\n      <p>An institution that answers for all four has aligned governance. Hesitation on one dimension signals a dimension to consolidate. Hesitation on two or more dimensions reveals governance that is displayed but not maintained, which the first external reading will expose. The void is not a management defect. It is a question of architecture.<\/p>\n      <p>The diagnostic question does not serve to note a weakness. It serves to anticipate the moment when that weakness would become visible without having been chosen. The Maison&#8217;s doctrine holds that the architecture of governance is constructed before exposure, not under it.<\/p>\n      <p>Anticipation, here, has a precise meaning.
